1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of ScreenLab Limited's ("we," "our," or "Company") websites located at www.screenlab.io and app.screenlab.io ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Services.

3.1. To access certain features of the Services, you must register for an account.

3.2. You agree to:

5. User Content

5.1. Privacy of User Content

5.1.1. By default, all Content uploaded by users ("User Content") is private and accessible only to:

  • The user who uploaded the Content
  • Other users explicitly granted access by the uploading user
  • ScreenLab Limited personnel who need access to provide the Services, support, or comply with legal obligations

5.1.2. You control the privacy settings of your User Content and can modify access permissions according to the features provided by the Services.

5.2. License Grant

5.2.1. By posting Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your Content solely to the extent necessary to:

  • Provide and maintain the Services
  • Honor your privacy settings and access controls
  • Comply with legal obligations
  • Create backup copies
  • Provide technical support
  • Debug and improve the Services

5.2.2. This license does not grant us the right to share your private Content with third parties or make it publicly available unless:

  • You explicitly choose to make it public through available Service features
  • We are required to do so by law
  • It is necessary to protect our rights, property, or safety, or those of our users or the public

5.3. Representations and Warranties

5.3.1. You represent and warrant that:

  • You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your Content as described in these Terms
  • Your Content does not violate any third party's intellectual property rights or privacy rights
  • You have obtained all necessary consents from any individuals whose personal data is included in your Content

5.4. Content Removal

5.4.1. We reserve the right to remove any Content that violates these Terms or that we are required to remove by law, without prior notice.

8.2. All fees are exclusive of applicable taxes (including VAT), which you are responsible for paying.

9. API Usage and Rate Limits

9.1. Access to our API is provided as part of the Services and is subject to these Terms.

9.2. API rate limits are determined by your subscription tier. You agree not to exceed or circumvent these rate limits.

9.3. We reserve the right to:

  • Monitor your API usage
  • Temporarily suspend access if rate limits are exceeded
  • Modify rate limits with reasonable notice
  • Terminate API access for repeated violations of rate limits

9.4. Detailed rate limits for each subscription tier are specified in our API documentation and may be updated from time to time.

10. Service Level Agreement (SLA) Disclaimer

10.1. The Services are provided on an "as-is" and "as-available" basis without any commitment to uptime or availability.

10.2. We do not offer any Service Level Agreements (SLAs) or guaranteed uptime commitments.

10.3. While we strive to maintain high availability and reliability of our Services, we make no warranties or representations regarding the availability, reliability, or performance of the Services.

11. Data Retention

11.1. We retain all data processed through our Services indefinitely to comply with legal and financial obligations.

11.2. This retention policy applies to:

  • Account information
  • Usage data
  • Transaction records
  • API logs
  • User-generated content
  • Any other data processed through our Services

11.3. While we maintain indefinite data retention, you maintain your rights under applicable data protection laws, including the UK GDPR and Data Protection Act 2018, to:

  • Access your personal data
  • Request corrections to your data
  • Exercise your other data subject rights as provided by law

11.4. Our indefinite retention policy does not override your right to request deletion of personal data where such deletion would not conflict with our legal and financial obligations.

12. Limitation of Liability

12.1. To the maximum extent permitted by law, ScreenLab Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Services.

12.2. Our total liability in any matter arising out of or related to these Terms is limited to the greater of (a) £100 or (b) the total amount you paid us to use the Services during the six months preceding the event giving rise to the liability.

13. Warranties and Disclaimers

13.1. The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied.

13.2. We do not warrant that:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • The Services are free of viruses or other harmful components

14.1. We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Services.

14.2. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

15. Governing Law

15.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

15.2. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability
